Terms of Service

These Terms of Service ("Terms") govern your use of the blah.™ websites (including blah.audio) and your purchase of the blah.™ software. Use of the installed software itself is governed by the blah.™ End User License Agreement (the "EULA"), which is incorporated into these Terms by reference and presented for acceptance when the software first runs. By using our websites or purchasing the software, you agree to these Terms. If you do not agree, do not use the websites or purchase the software. 1. Who We Are The blah.™ software and websites are operated by: Clover LDT, LLC 9030 N Hess St, #1002 Hayden, Idaho 83835-9827 United States of America Email: support@blah.audio Website: https://www.cloverldt.com 2. The Product blah.™ is a local, GPU-accelerated dictation application for Windows and macOS desktop. It transcribes your spoken voice, optionally cleans and formats the resulting text, and optionally translates it — with all core processing performed locally on your device. Voice audio and transcripts never leave your computer. See the Privacy Policy for the limited information we do collect. 3. Purchases and Payment Purchases are processed by our merchant of record, Paddle.com Market Limited or Paddle.com Inc. ("Paddle"). Paddle is the seller of record for your order: Paddle handles payment, applicable taxes (such as VAT and sales tax), invoicing, and billing support, and your purchase is also subject to Paddle's Buyer Terms, available at paddle.com. Clover LDT, LLC does not receive or store your full payment card details. The price displayed at checkout is the price you pay. A license is a one-time purchase; there is no subscription and no recurring charge. 4. Delivery and Activation Your license key is delivered by email promptly after purchase. The software is downloaded from our website. A license permits use of the software on one (1) device at a time; activation binds your license key to that device using a one-way cryptographic hash of a hardware identifier (the raw identifier never leaves your device). You may move the license to a different device once every sixty (60) days by deactivating it on the current device first. See the EULA, Sections 6 and 7, for the full license terms. Activation requires a brief internet connection; after activation the software verifies your license entirely offline and does not require network access for normal use. 5. Refunds You may request a refund within fourteen (14) days of purchase. Refunds are processed through Paddle, subject to its checkout terms. Deactivating the software on your device is required as part of any refund; upon refund, your license is cancelled and you must cease use of and remove the software. To request a refund, use the link in your Paddle order confirmation email or contact support@blah.audio. 6. Software Updates Your license includes all software updates released during the twelve (12) months following your purchase (the "Upgrade Window"). You may continue to use, forever, any version released during your Upgrade Window; the software does not expire or disable itself. Versions released after your Upgrade Window ends require the purchase of a license renewal. See the EULA, Section 10.2. 7. License to the Software The software is licensed, not sold. Your use of the software is governed by the EULA, which you accept when the software first runs. In summary (the EULA controls where these differ): a personal, non-transferable license for one device at a time; use in your personal capacity including your own professional work; no resale, redistribution, service-bureau use, or multi-user deployment; no reverse engineering except as permitted by law or applicable open-source licenses. The software includes third-party components and machine-learning models subject to their own license terms, copies of which are included with the software. 8. Acceptable Use You agree not to use the websites or the software for any unlawful purpose; to attempt to circumvent license activation or other technological protection measures; to resell or redistribute the software or license keys without a separate agreement; or to interfere with the operation of our websites or activation service. 9. Intellectual Property The software, websites, and all associated content are the property of Clover LDT, LLC or its licensors. blah.™ is a trademark of Clover LDT, LLC. Nothing in these Terms grants you any right to use our trademarks or branding. 10. Disclaimers THE WEBSITES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TRANSCRIPTION, TEXT CLEANUP, AND TRANSLATION ARE PRODUCED BY ON-DEVICE MACHINE-LEARNING MODELS AND MAY CONTAIN ERRORS, OMISSIONS, OR ALTERATIONS OF MEANING; YOU ARE RESPONSIBLE FOR REVIEWING OUTPUT BEFORE RELYING ON IT. THE WARRANTY DISCLAIMERS IN THE EULA APPLY TO THE SOFTWARE. 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLOVER LDT, LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE WEBSITES, OR THE SOFTWARE. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNTS YOU ACTUALLY PAID FOR YOUR SOFTWARE LICENSE. 12. Privacy Our Privacy Policy describes the limited personal data we collect (your email address and license-activation data) and how we handle it. The software contains no analytics, telemetry, or tracking. The Privacy Policy is incorporated into these Terms by reference. 13. Governing Law and Disputes These Terms are governed by the laws of the State of Idaho, United States of America, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Kootenai County, Idaho. YOU WAIVE ANY RIGHT TO TRIAL BY JURY WITH RESPECT TO ANY DISPUTE ARISING UNDER THESE TERMS. 14. Changes to These Terms We may update these Terms from time to time. Material changes will be announced on our website (and by email where appropriate) with an updated version number and effective date. Changes will not materially reduce the rights attached to licenses already purchased. Continued use of the websites after changes become effective constitutes acceptance of the updated Terms. 15.
